Services & Statements of Work

These Terms of Service ("Terms") govern all professional engagements provided by Vantiq ("we," "our," or "the Studio") to clients worldwide ("Client" or "you").

Our core service pillars encompass:

01. Branding & UI/UX Design

Brand strategy, visual identity systems, typography, design systems, and digital product interface design.

02. Web & App Development

High-performance web apps, marketing websites, iOS/Android mobile applications, and scalable backend architectures.

03. SEO & Conversion Optimization

Technical audits, site speed optimization, keyword research, on-page architecture, and organic growth strategies.

04. AI Solutions & Product Strategy

MVP scoping, roadmap planning, LLM integrations (OpenAI, Gemini), and custom machine learning workflows.

05. Custom CRM & ERP Systems

Bespoke operational software, multi-role portals, database modeling, and automated business workflows.

All client engagements are performed pursuant to a formal Statement of Work (SOW) or sprint agreement specifying the deliverables, timeline milestones, and fee schedule.

Intellectual Property & Code Ownership

100% Client Ownership: Upon settlement of all agreed fees for a project or milestone, all bespoke deliverables, source code repositories, design files, Figma libraries, data schemas, and assets created specifically for the Client transfer completely and unconditionally to the Client.

Pre-existing Utilities & Tooling: Vantiq retains ownership of general developer utilities, base boilerplates, and modular libraries developed independently of the engagement. The Client receives a perpetual, royalty-free license to use, adapt, and distribute these components as part of their final product.

Portfolio Representation: Unless explicitly restricted by an executed Non-Disclosure Agreement (NDA), Vantiq reserves the right to showcase non-confidential project visuals, interfaces, and case study outcomes in our studio portfolio.

Invoicing, Milestones & Payment Terms

Engagements are structured around transparent milestone billing or agile sprint cycles:

Initial Deposit & Commencement

Custom software and design projects require an initial deposit (typically 30%–50%) prior to sprint kick-off.

Milestone Sign-Off

Progress payments are triggered upon delivery and review of specified sprint milestones and deliverables.

Production Release & Handover

Production server deployments, domain mapping, and final repository ownership transfer are finalized upon receipt of the final milestone balance.

Scope Adjustments & 30-Day Warranty

Revision Cycles: Every SOW includes specified rounds of design and interface revisions. Requests beyond the agreed technical scope are handled through a straightforward Change Order with transparent pricing and timeline estimates.

30-Day Post-Launch Bug Warranty: We provide a 30-day warranty window following production launch to immediately resolve any technical bugs, browser anomalies, or defects within the original scope at zero additional charge.

Third-Party APIs & Cloud Subscriptions

Where projects integrate third-party APIs and infrastructure (such as OpenAI, Google Gemini, Supabase, Vercel, AWS, or Stripe), the Client retains direct ownership of their external accounts and is responsible for ongoing usage and subscription fees. Vantiq is not responsible for policy shifts, pricing revisions, or downtime initiated by third-party providers.

Confidentiality & Non-Disclosure

Both parties agree to treat all business roadmaps, technical specifications, customer records, database contents, and proprietary workflows shared during the engagement as strictly confidential. This obligation remains in full effect indefinitely beyond project completion.

Limitation of Liability & Jurisdiction

Vantiq's maximum aggregate liability arising from any contract or service deliverable is strictly limited to the total fees paid by the Client to Vantiq under the corresponding Statement of Work.

These Terms are governed by and construed in accordance with the laws of Pakistan, subject to the jurisdiction of the courts of Karachi, Pakistan, or binding mutual international commercial arbitration.
